In a significant shift within Nigeria's energy sector, Shell Plc has announced its decision to sell its domestic gas distribution business to Vaaris Energy Limited. This transaction involves a pipeline network that caters to over 130 industrial and commercial clients across Ogun, Abia, and Rivers states. The deal, which is still pending regulatory approval, marks a pivotal moment for both companies and the local energy landscape.
Shell's sale encompasses its entire stake in the Shell Nigeria Gas Group, including the Dutch entity Shell Nigeria Gas Holding B.V., which was established in 2019. While the financial specifics of the agreement have not been disclosed, Shell has committed to continuing its service to customers until the transaction is finalized.
Elohor Aiboni, Shell’s country chair in Nigeria, expressed optimism about the sale, stating that it provides a robust platform for the business's future under new ownership. Shell plans to concentrate its efforts on deepwater and integrated gas operations in Nigeria, retaining its interests in Nigeria LNG.
Vaaris Energy's leadership team is composed of seasoned professionals with extensive backgrounds in the Nigerian oil and gas industry. The chairman, Tubotein “Tein” George, brings over three decades of experience across various sectors, including exploration, production, and finance. He is also the chairman of Aveon Offshore Ltd., which is recognized as Nigeria’s largest locally owned oil and gas fabrication facility.
Kazeem Abiodun Raimi, the executive director for commercial at Vaaris, adds a wealth of experience in capital markets and strategic negotiations. His previous roles include significant positions at Seplat Energy, where he played a crucial role in acquisitions and capital raising efforts.
The financial stewardship of Vaaris is in the hands of Nwangboje Uche, the chief financial officer of Pillar Oil Ltd. Uche has a strong background in managing capital structures and risk, having worked with notable firms like Chevron Nigeria and John Holt Plc.
Alfred O. Temile, the chief executive of E.A. Temile Ltd., is another key figure in Vaaris. With over 30 years in the energy sector, Temile is a staunch advocate for Nigerian ownership in critical industries and has diversified interests that span energy, maritime logistics, and financial services.
Johnnie Eni, serving as the chief operating officer, brings a strong governance background to Vaaris. His previous experience includes leading business integrity initiatives at Seplat Energy and working in various capacities in the UK.
Lastly, Shawley J. Coker, a pioneer in Nigeria's oilfield services, founded CISCON Nigeria Ltd. and has been instrumental in developing the country's indigenous capabilities in tubular-running and well-completion services.
As Shell continues to divest from its Nigerian assets, this sale reflects a broader trend of international oil companies reducing their onshore presence while focusing on more lucrative deepwater and liquefied natural gas (LNG) ventures. The sale of the gas distribution unit, while relatively small compared to Shell's remaining interests, underscores the evolving dynamics of Nigeria's energy sector and the increasing role of local players in the market.
The future of Vaaris Energy and its new acquisition remains to be seen, but the combination of experienced leadership and a strong local focus positions the company well for the challenges and opportunities ahead in Nigeria's energy landscape.
